1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of PicDiff ("the Service"), provided by PicDiff. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

PicDiff provides high-precision image comparison and difference detection tools.

• Local-First Comparison: Core image comparison features operate locally in your web browser. Your images are not uploaded to our servers for comparison purposes.
• Sharing Features: We provide optional cloud-based features, such as comparison sharing, which require data to be uploaded to our secure storage.
• Subscription Plans: We offer free and paid subscription plans with different features and limits. We reserve the right to modify plan features and limits at any time.

3. User Accounts and Eligibility

3.1 Account Creation: To access certain features, such as sharing comparisons or managing subscriptions, you must sign in using a Google account. You are responsible for maintaining the security of your account and for all activities that occur under your account.

3.2 Accuracy of Information: You agree to provide accurate and complete information when creating an account and to keep such information up to date.

3.3 Eligibility: By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

4. Service License and Restrictions

We grant you a non-exclusive, revocable, non-transferable, limited license to access and use the Service in accordance with these Terms. You agree not to:

• Copy, modify, or create derivative works based on the Service or its source code.
• Reverse engineer, decompile, or disassemble the Service.
• Resell or commercially exploit the Service without our express permission.
• Use the Service for any illegal purpose or to develop a competing product.

5. Subscriptions, Fees, and Payments

5.1 Fees and Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually) based on your selected plan.

5.2 Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

5.3 Payment Processing: Payments are processed securely through Stripe. We do not store your credit card information on our servers.

5.4 Cancellations and Refunds: You can cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. Fees are generally non-refundable, except as required by law.

6. User Content and Intellectual Property

6.1 Your Content: You retain all ownership rights to the images you upload or compare using the Service ("User Content").

6.2 License for Sharing: By using the sharing feature, you grant PicDiff a limited, non-exclusive, worldwide license to store and display your User Content solely for the purpose of providing the sharing functionality to you and your intended recipients.

6.3 Our Intellectual Property: All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of PicDiff and its licensors.

7. Prohibited Conduct

You agree not to:

• Upload or share content that is illegal, harmful, obscene, or infringes on the rights of others.
• Distribute malware, spam, or other harmful code.
• Attempt to interfere with or disrupt the Service or its security features.
• Create multiple free accounts to circumvent usage limits.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding your personal information.

9. Termination and Suspension

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including if you violate these Terms.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, PicDiff shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold PicDiff harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of any significant changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.
